NOTICE OF ADOPTION OF SUPPLEMENTAL RESOLUTION THE AUTHORIZING ISSUANCE AND SALE OF GENERAL OBLIGATION BONDS

NOTICE IS HEREBY GIVEN that Board of Trustees of the South Central Colfax County Special Hospital District did on the 7th day of July, 2025, adopt a resolution entitled:
A SECOND SUPPLEMENTAL RESOLUTION RELATED TO THE ISSUANCE AND SALE OF THE SOUTH CENTRAL COLFAX COUNTY SPECIAL HOSPITAL DISTRICT, COLFAX COUNTY, NEW MEXICO GENERAL OBLIGATION BONDS, SERIES 2025, IN THE PRINCIPAL AMOUNT NOT TO EXCEED $10,000,000; CONFIRMING, SUPPLEMENTING AND AMENDING CERTAIN PROVISIONS OF THE RESOLUTION ADOPTED BY THE BOARD ON DECEMBER 9, 2024 AND THE SUPPLEMENTAL RESOLUTION ADOPTED BY THE BOARD ON MARCH 24, 2025; AMENDING PARAMETERS FOR BONDS; REAUTHORIZING THE DELEGATION OF AUTHORITY TO MAKE CERTAIN DETERMINATIONS REGARDING THE FINAL TERMS OF THE BONDS PURSUANT TO SECTION 6-14-10.2, NMSA 1978 AND SUBJECT TO THE PARAMETERS ESTABLISHED IN THE RESOLUTION ADOPTED BY THE BOARD ON DECEMBER 9, 2024, AS AMENDED AND CONFIRMED BY THE SUPPLEMENTAL RESOLUTION ADOPTED BY THE BOARD ON MARCH 24, 2025 AND THIS RESOLUTION; AMENDING THE PROCESS FOR DESIGNATION OF THE BONDS AS QUALIFIED TAX EXEMPT OBLIGATIONS UNDER THE INTERNAL REVENUE CODE OF 1986, AS AMENDED; AND PROVIDING FOR OTHER DETAILS CONCERNING THE BONDS.
The Resolution supplements and amends the Resolution adopted by the Board on December 9, 2024 and the First Supplemental Resolution adopted by the Board on March 24, 2025 (together, the “Bond Authorizing Resolution”), related to the authorization and issuance of South Central Colfax County Special Hospital District, County of Colfax, New Mexico, General Obligations Bonds, Series 2025 in the aggregate principal amount of up to $10,000,000; amends the parameters of the Bonds to allow for a private placement of the Bonds; confirms and reauthorizes the delegation of authority to the Delegate to approve the final terms of the Bonds within the parameters approved by the Board in the Bond Authorizing Resolution as amended and supplemented by this Resolution; and, amends the process for designation of the Bonds as qualified tax exempt obligations for purposes of Section 265(b)(3) of the Internal Revenue Code of 1986, as amended.
